Please read these Terms of Service ("Terms") carefully before using Crito Investments ("Crito", "we", "us"). By accessing or using our service at crito.in or app.crito.in, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using Crito, you confirm that you are at least 18 years old, have read and understood these Terms and our Privacy Policy, and agree to comply with all applicable laws and regulations in your jurisdiction.

2. Description of Service

Crito is an AI-powered stock research and portfolio management tool. It allows users to:

• Create themed portfolio baskets of stocks based on investment theses
• Run AI-powered stock analysis using third-party AI APIs (Anthropic Claude, Perplexity AI)
• View market data and stock prices sourced from Yahoo Finance
• Receive portfolio rebalancing suggestions

3. Bring Your Own Key (BYOK) Terms

Crito operates on a BYOK model. By providing your API keys, you agree that:

• You are responsible for the cost of API usage charged by Anthropic and Perplexity directly to your accounts
• You will comply with Anthropic's and Perplexity's respective terms of service
• You will not use Crito to circumvent usage limits or policies of these AI providers
• Your API keys are your responsibility — Crito cannot recover them if you lose them
• You will not share Crito access with others using your personal API keys

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately at hello@crito.in of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse our service infrastructure.

5. Acceptable Use

You agree not to use Crito to:

• Engage in market manipulation, insider trading, or any illegal investment activities
• Automate trading decisions in violation of applicable securities laws
• Scrape, copy, or redistribute our content or data at scale
• Interfere with the security or integrity of our platform
• Attempt to reverse-engineer or extract our proprietary algorithms
• Use the service on behalf of others without their explicit consent
• Violate any applicable law, regulation, or third-party rights

6. Intellectual Property

The Crito platform, including its software, design, and branding, is owned by Crito Investments and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works without our express written permission.

Content you create within Crito (your basket names, investment notes, and configurations) remains your property. By using Crito, you grant us a limited license to store and display this content to provide the service.

7. Third-Party Services

Crito integrates with third-party services including Anthropic, Perplexity AI, Yahoo Finance, and Supabase. Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of these third parties.

Market data provided by Yahoo Finance may be delayed by 15–20 minutes. Crito provides this data "as-is" without warranties of accuracy or timeliness.

8. Disclaimer of Warranties

CRITO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the service will be uninterrupted, error-free, or that AI-generated analysis will be accurate, complete, or suitable for any investment purpose.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRITO INVESTMENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM (WHICH, FOR FREE USERS, IS ZERO).

Crito is a research tool only. Nothing on Crito constitutes financial advice. All investment decisions are made solely by you. See our full Investment Disclaimer.

11. Termination

You may stop using Crito at any time. You may delete your account through the app settings or by emailing hello@crito.in.

We may terminate or suspend your access if you violate these Terms, engage in harmful conduct, or if we discontinue the service. We will provide reasonable notice where possible.

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved through binding arbitration in Bengaluru, India, under the Arbitration and Conciliation Act, 1996, except where prohibited by applicable law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of Crito after changes are posted constitutes acceptance of the updated Terms.
